IMS Employee Agreement – International & Pakistan Applicable 1. Employment Relationship
This Agreement outlines the terms and conditions of your engagement with Insight Multiple Services (IMS). You are engaged as an independent contractor or employee depending on your specific contract. This agreement applies to both domestic and international team members.

2. Confidentiality & Non-Disclosure
You agree to maintain strict confidentiality regarding all IMS data, client information, business strategies, and intellectual property. You shall not share or disclose any information without prior written consent from IMS. This obligation continues even after your engagement with IMS ends.
Pakistan Law:
Pakistan Penal Code (PPC) 1860 – Section 378 & 403 – Prohibits theft or misuse of confidential property, including digital data.
Prevention of Electronic Crimes Act (PECA) 2016 – Sections 3, 4 & 16 – Criminalizes unauthorized access, copying, or disclosure of data without consent.
International Law:
TRIPS Agreement – Article 39 – Protects undisclosed information from unauthorized use or disclosure.
GDPR – Articles 5, 32 & 33 – Imposes strict data handling and breach notification obligations.
Violation may result in immediate termination, civil damages, and/or criminal prosecution.

3. Work Ownership
All work, designs, code, documents, and materials created by you in the course of your work for IMS, whether during employment or contractual engagement, are considered “works made for hire” and are the exclusive property of IMS. You assign and transfer all rights, title, and interest in such works to IMS immediately upon creation.
IMS reserves the right to use, sell, license, or transfer the work to any third party.
If IMS sells or transfers the work to a client or buyer, full ownership rights will pass to that client/buyer after payment has been made in full.
You, as the creator, retain no claim, royalty rights, or further ownership once the work is delivered to IMS or to the client.
Legal References:
Pakistan – Copyright Ordinance, 1962 – Section 17 – Commissioned works can belong to the commissioning party if agreed in writing.
International – Berne Convention Article 2(1), WIPO Copyright Treaty, TRIPS Agreement Article 9 – Allow written contractual transfer of rights and ownership.

4. Professional Conduct
You agree to:
Communicate respectfully and professionally with clients, colleagues, and management.
Follow IMS work processes, guidelines, and quality standards.
Avoid any behavior that could damage IMS’s reputation.
Refrain from engaging in any competitive activity that conflicts with IMS business during your engagement.

5. Compliance with International & Pakistani Laws
You must comply with all applicable:
Pakistani Laws – including the Pakistan Penal Code (PPC), PECA 2016, Intellectual Property Laws, and Labor Laws.
International Laws – including but not limited to GDPR, Copyright Laws, and International Labour Standards (ILO).
Violation may result in termination and legal action.

6. Data Protection
You will protect all data provided by IMS or its clients and use it solely for work purposes. All digital files must be stored securely and must comply with relevant data protection regulations.

7. Work Schedule & Deadlines
Remote employees must adhere to agreed deadlines and maintain regular communication.
Delays must be reported in advance to IMS management.
Work hours may be flexible unless otherwise specified.

8. Marketing Executive – Travel & Field Work Clause
Marketing Executives may be required to travel within their city or to other locations for IMS-related work, including meeting with clients, conducting market visits, and promoting IMS services.
All travel is conducted at the Marketing Executive’s own discretion and responsibility. IMS will not be liable for any personal security issues, accidents, or incidents during travel.
While on field assignments, Marketing Executives must maintain a professional image and uphold IMS values and ethics at all times.
If during IMS-related travel you engage in any illegal activity and are detained, arrested, or questioned by law enforcement, IMS will not provide legal assistance, will not intervene in the matter, and will not be responsible for your actions.
This includes but is not limited to violations of:
Pakistan Penal Code (PPC) 1860 – Fraud, theft, misrepresentation, harassment, criminal offenses.
PECA 2016 – Cybercrime, unauthorized access, data breaches.
Relevant International Criminal Laws – Depending on jurisdiction of travel.

9. Payment Terms
Payments will be made as per your contract and agreed method.
Payment frequency will be weekly, bi-weekly, or monthly depending on your contract.
Failure to deliver agreed work may result in payment withholding.

10. Termination
IMS reserves the right to terminate your engagement without prior notice in cases of misconduct, breach of confidentiality, non-compliance with laws, or poor performance.
You may terminate this agreement with written notice as per your contract.

11. Dispute Resolution & Jurisdiction
For Pakistani employees – disputes will be governed by laws of Pakistan and handled in Pakistani courts.
For international employees – disputes will be resolved under international commercial law unless otherwise agreed.
IMS may choose the most applicable legal forum for cross-border disputes.

12. Acknowledgement & Acceptance
By signing this agreement (or submitting digitally), you confirm that:
You have read, understood, and agree to abide by all the terms and conditions listed above.
You acknowledge that violation of this agreement can result in legal action under Pakistani law and/or international law.
